This Privacy Policy defines the legal parameters governing the processing of personal data within the LiveSoko SaaS ecosystem under the **Kenya Data Protection Act, 2019** (the "Act") and corresponding regional frameworks.

SECTION 7: LEGAL CLASSIFICATION OF DATA ROLES

  • 7.1 Merchant as Data Controller: Under the Act, the Merchant is the sole **Data Controller** of all Customer and buyer personal data (including name, telephone number, TikTok handle, and physical delivery address) gathered through the hosted storefront (/shop/:slug) or manual input channels.
  • 7.2 Company as Data Processor: SoftLogic Tech operates strictly as a **Data Processor**, providing the technological infrastructure and localized tools to facilitate the Merchant's operations. The Merchant is responsible for obtaining all necessary prior, explicit, and informed consents from Customers prior to compiling profiles, recording locations, or evaluating trust behavior.

SECTION 8: CRYPTOGRAPHIC TELEMETRY SYNC AND MODEL TRAINING

  • 8.1 Anonymized Aggregation License: The Merchant hereby grants SoftLogic Tech a perpetual, irrevocable, worldwide, royalty-free, fully sub-licensable license to capture, retrieve, analyze, and store anonymized transaction metadata, system operational telemetry, and interface telemetry.
  • 8.2 Absolute Cryptographic PII Obliteration (HMAC-SHA256 Protocol): To ensure absolute compliance with statutory privacy regulations and the instructions of the Office of the Data Protection Commissioner (ODPC), all localized telemetry synchronization background processes employ a secure, one-way salted HMAC-SHA256 cryptographic hashing algorithm. Under this structural protocol:
    • All Personally Identifiable Information (PII)—specifically including customer phone numbers, customer names, transaction codes, and physical delivery coordinates—is irreversibly transposed into a secure, non-reconstructable mathematical numeric hash utilizing a secure server-side dynamic key ("TELEMETRY_SALT").
    • Neither SoftLogic Tech, the Merchant, nor any external third-party possesses the technical capability to decrypt, reverse-engineer, reconstitute, or associate these hashed representations with any real-world individual, ensuring permanent and absolute anonymity.
  • 8.3 Predictive Analytics and Heuristic Model Training: The resulting cryptographically isolated and aggregated telemetry datasets are collected for the exclusive purpose of:
    • Calibrating predictive logistics matrices, regional transit routing engines, and delivery timeline estimation structures.
    • Optimizing network load-balancing and scaling the decentralized SaaS storefront architecture.
    • Technical training, parameter adjustment, and mathematical instruction of proprietary predictive statistical matrices, neural-algorithmic behavioral engines, machine-learning regression layers, and heuristic categorization vectors (collectively, the "Future Models") to enhance platform efficiency, auto-matching success rates, and generalized merchant analytics.

SECTION 9: STATUTORY INDEMNIFICATION CLAUSE

9.1 Merchant Indemnity for Privacy Breaches: The Merchant agrees to indemnify, defend, and hold harmless SoftLogic Tech, its officers, directors, and employees, from and against any and all administrative fines, penalties, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to any regulatory audits, investigations, or claims brought by the **Office of the Data Protection Commissioner (ODPC)** or any data subject, due to the Merchant's failure to obtain proper customer consent, secure their localized infrastructure, or comply with their statutory obligations as a Data Controller.

SECTION 10: DATA RETENTION, SECURITY MEASURES, AND CROSS-BORDER TRANSFERS

  • 10.1 Retention Schedule: SoftLogic Tech retains personal data for no longer than necessary to fulfill the operational requirements of the SaaS platform. Primary transactional logs and order histories are maintained for the active duration of the Merchant's subscription. Upon account termination, localized records are systematically purged or anonymized within fourteen (14) days.
  • 10.2 Security Controls: In compliance with Section 41 of the Act, all database instances, customer profiles, and session registers employ advanced administrative and technical safeguards. This includes SSL/TLS protocols for all data in transit, isolated SQLite storage mechanisms, and strictly restricted access control policies.
  • 10.3 Cross-Border Hosting Safekeeping: The SaaS infrastructure is hosted on secure, isolated cloud servers. By utilizing the platform, the Merchant acknowledges and agrees that anonymized datasets or operational metadata may be processed across secure international servers under strict encryption, guaranteeing compliance with Section 48 of the Act.

SECTION 11: DATA SUBJECT RIGHTS AND COMPLIANCE CONTACT

  • 11.1 Exercise of Rights: Pursuant to Section 26 of the Act, all individuals whose data is processed (including Merchants and their buyers) possess the right to:
    • Access their compiled personal data.
    • Request correction, rectification, or updates of inaccurate records.
    • Object to processing or request systematic erasure of their records.
  • 11.2 Privacy Liaison Contact: Any requests, regulatory notices, or compliance inquiries regarding data processing, access, or erasure under the Act must be submitted to our Legal & Privacy Division via email at legal@softlogic.co.ke.

IMPORTANT NOTICE

PLEASE READ THIS LEGAL AGREEMENT CAREFULLY. BY CREATING AN ACCOUNT, ACCESSING THE PLATFORM, OR INTEGRATING LIVESOKO SAAS MODULES, YOU (THE "MERCHANT" OR "USER") EXPRESSLY AGREE TO BE BOUND BY THESE TERMS OF USE AND PRIVACY POLICY. IF YOU DO NOT AGREE, YOU MUST IMMEDIATELY CEASE ALL USE OF THE PLATFORM.

SECTION 1: CLASSIFICATION OF SERVICE (SOFTWARE FACTOR ONLY)

  • 1.1 SaaS Commerce Enabler Platform: LiveSoko is strictly a Software-as-a-Service ("SaaS") platform developed, owned, and maintained by **SoftLogic Tech**. The software provides localized guest order management, real-time transaction monitoring trackers, customer checkout storefront catalogs, and administrative synchronization tools.
  • 1.2 No Proprietary Marketplace Operations: Company does not operate, manage, or control a consumer-facing marketplace, does not act as a merchant of record, and does not list, inventory, warehouse, broker, clear, or sell any products displayed on Merchant’s localized storefront catalogs. All transactions initiated via a Merchant's hosted storefront (/shop/:slug) are direct peer-to-peer agreements entered into solely between the Merchant and their respective buyer ("Customer").

SECTION 2: TRANSACTIONAL AND PAYMENT PROCESSING DISCLAIMER

  • 2.1 No Escrow or Processing Authority: LiveSoko is an administrative SaaS ledger and transaction-monitoring telemetry tool. SoftLogic Tech does not hold, clear, settle, process, receive, transfer, or escrow funds. All financial transactions occur directly between the Customer and the Merchant via peer-to-peer or peer-to-merchant payment channels (including but not limited to Safaricom M-Pesa).
  • 2.2 Automatic Reconciliation Disclaimer: While the software provides real-time transaction monitoring and automated verification triggers (e.g., matching incoming M-Pesa transaction alerts), the Merchant remains solely responsible for validating the completeness, origin, and legitimacy of all payments. SoftLogic Tech disclaims all liability for:
    • Unmatched or falsely matched transactions resulting from third-party gateway downtime, telecom network latency, or device SMS-forwarding connection failures.
    • M-Pesa transaction reversals, fraud, duplicate payments, or accounting discrepancies.
    • Regulatory freezes, compliance audits, or administrative blocks placed on Merchant’s payment channels by financial regulators or telecom operators.

SECTION 3: DATA CUSTODY, DECENTRALIZED ARCHITECTURE, AND BACKUPS

  • 3.1 Localized Data Sovereignty: Merchant acknowledges that their primary transactional ledger, inventory, customer contacts, and database records reside on isolated hosting infrastructures or decentralized local storage (e.g., SQLite databases). SoftLogic Tech does not maintain, mirror, sync, or control these primary structural operational databases.
  • 3.2 Merchant’s Data Preservation Duty: Merchant bears the absolute, non-delegable, and continuous duty to maintain routine, secure backups of all local database instances, transaction logs, and operational records. SoftLogic Tech shall not be liable for any data loss, database corruption, storage hardware failure, or unauthorized physical or virtual access to the Merchant's local hosting environment.

SECTION 4: WAIVER OF SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES

  • 4.1 LIMITATION OF LIABILITY: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SOFTLOGIC TECH, ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, OPERATIONAL DATA, SYSTEM DOWNTIME, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE PLATFORM.
  • 4.2 AGGREGATE LIABILITY CAP: UNDER NO CIRCUMSTANCES SHALL THE COMPANY’S AGGREGATE LIABILITY FOR ALL CLAIMS, DISPUTES, OR ACTIONS RELATING TO THE PLATFORM EXCEED THE LESSER OF (A) THE TOTAL FEES PAID BY THE MERCHANT TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) KES 5,000 (FIVE THOUSAND KENYAN SHILLINGS).

SECTION 5: REPRESENTATIONS, WARRANTIES, AND COMPLIANCE

  • 5.1 Merchant Compliance Obligations: Merchant represents and warrants that they shall comply with all applicable local, national, and international laws, including but not limited to consumer protection laws, tax obligations (VAT, Income Tax, Electronic Tax Registers), business licensing requirements, and copyright/trademark regulations. Merchant is strictly prohibited from utilizing the platform to catalog, advertise, or sell illicit, prohibited, counterfeit, or hazardous substances.
  • 5.2 Social Platform Compliance: Merchant assumes sole responsibility for compliance with all third-party social media platform terms of service (including but not limited to TikTok Community Guidelines, Instagram Commercial Terms, and WhatsApp Business Policies). SoftLogic Tech disclaims all liability for Merchant account suspensions, bans, shadow-bans, or functional restrictions imposed by external social platforms.

SECTION 6: GOVERNING LAW AND RESOLUTION OF DISPUTES

  • 6.1 Governing Law: This Agreement shall be governed by, construed, and enforced in accordance with the laws of the **Republic of Kenya**, without regard to conflict of law principles.
  • 6.2 Arbitration Agreement: Any dispute, controversy, or claim arising out of or relating to this Agreement, including its formation, validity, breach, or termination, shall be referred to and finally resolved by binding arbitration administered by the **Nairobi Centre for International Arbitration (NCIA)** in accordance with the NCIA Arbitration Rules. The place of arbitration shall be Nairobi, Kenya, and the language of the proceedings shall be English.
